1. Description of Service

QuantLogic.io provides automated trading signal services for NQ (Nasdaq E-mini) and ES (S&P E-mini) futures contracts. Our service:

• Delivers trading signals to your connected Tradovate brokerage account
• Executes trades automatically based on our proprietary strategies
• Includes an AI-powered trading coach for educational purposes
• Provides performance tracking and analytics through our dashboard

Signals delivered to subscriber accounts are executed with a delay of 1-2 seconds after our master account to maintain strategy integrity.

2. Account Requirements

To use our services, you must:

• Be at least 18 years of age
• Have a valid Tradovate brokerage account
• Have sufficient funds and margin in your account to execute trades
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Subscription and Payment

QuantLogic.io offers subscription-based access to our trading signals:

• Subscriptions are billed monthly through Stripe
• Pricing varies based on the plan selected (signal types, contract limits)
• You may cancel your subscription at any time through your dashboard
• Refunds are provided at our sole discretion
• We reserve the right to change pricing with 30 days notice

4. Brokerage Account Connection

By connecting your Tradovate account via OAuth:

• You authorize QuantLogic.io to place orders in your account on your behalf
• You understand that trades will be executed automatically without individual confirmation
• You remain solely responsible for monitoring your account and positions
• You may disconnect your account at any time, which will immediately stop signal execution
• You are responsible for ensuring your account has appropriate funding and risk settings

5. Risk Acknowledgment

By using QuantLogic.io, you acknowledge and agree that:

• Futures trading carries a high level of risk and may result in losses exceeding your initial deposit
• Past performance of our strategies does not guarantee future results
• Technical failures, market conditions, or delays may result in trades not being executed as intended
• You are solely responsible for all trading decisions and outcomes in your account
• QuantLogic.io is not a registered investment advisor, broker-dealer, or financial planner
• Our signals and AI Coach are for informational purposes only and do not constitute financial advice
• You should consult with a qualified financial advisor before making investment decisions

6. Signal Execution

Regarding the execution of trading signals:

• Signals are delivered on a best-effort basis
• Execution timing, prices, and fills may vary from our master account
• Market conditions, slippage, and technical issues may affect execution
• We do not guarantee that all signals will be executed in your account
• Position sizing is based on your account settings and subscription tier

7. Prohibited Uses

You agree not to:

• Share, redistribute, or resell QuantLogic.io signals to third parties
• Reverse engineer our trading strategies or systems
• Use our service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Use automated systems to scrape or copy our content
• Interfere with the proper functioning of our service

8. Intellectual Property

All content, features, and functionality of QuantLogic.io, including but not limited to trading strategies, algorithms, software, text, graphics, and logos, are owned by DataLogic Process Automation S.L. and are protected by international copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• QUANTLOGIC SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY FAILURE OR DELAY IN SIGNAL EXECUTION DUE TO TECHNICAL ISSUES, MARKET CONDITIONS, OR THIRD-PARTY SERVICES

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• Our service will be uninterrupted, timely, secure, or error-free
• The results obtained from using our service will be accurate or reliable
• Any errors in the service will be corrected

11. Indemnification

You agree to indemnify, defend, and hold harmless QuantLogic.io and DataLogic Process Automation S.L., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the service will immediately cease
• We will stop executing signals in your connected accounts
• You remain responsible for any fees incurred prior to termination

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Málaga, Spain.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QuantLogic.io regarding the use of our services.
